1. About These Terms

These Terms and Conditions (the "Terms") govern your access to and use of the website at axismunditech.com and any related pages, content, and features (together, the "Site") operated by Axis Mundi Technologies, Inc. ("Axis Mundi Technologies," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to your use of the Site only. They do not govern the provision of our services. Any engagement of Axis Mundi Technologies to provide VAT recovery, data remediation, or related services is governed by a separate written Master Services Agreement ("MSA") and Data Processing Agreement ("DPA") entered into between Axis Mundi Technologies and the client. No service engagement begins, and no invoice is raised, before a signed MSA and DPA are both in place. Where these Terms and an executed MSA conflict in relation to services, the MSA controls.

2. Eligibility and Use of the Site

The Site is intended for businesses and the professionals who represent them. By using the Site, you confirm that you are at least 18 years old and that you have the authority to accept these Terms on behalf of yourself or the organisation you represent.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, any third party. In particular, you agree not to:

• Use the Site in any way that breaches any applicable law or regulation.
• Attempt to gain unauthorised access to the Site, the server on which it is stored, or any connected server, computer, or database.
• Introduce any virus, malware, or other material that is malicious or technologically harmful.
• Use any automated system to access, scrape, or copy the Site or its content without our prior written consent.
• Reproduce, distribute, or commercially exploit any content from the Site except as permitted under these Terms.

3. Intellectual Property

All content on the Site, including text, graphics, logos, the Axis Mundi Technologies name and brand marks, software, and the selection and arrangement of that content, is owned by or licensed to Axis Mundi Technologies and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for your own business or personal reference.

Nothing in these Terms transfers to you any right, title, or interest in our intellectual property. You may not use our name, logo, or brand marks without our prior written permission.

4. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Where you provide personal data to us, or where personal data is processed in the course of providing services, that processing is governed by the Privacy Policy and, for service engagements, by the applicable DPA, in accordance with the EU and UK General Data Protection Regulation (GDPR).

To the fullest extent permitted by law, Axis Mundi Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with your use of, or inability to use, the Site, whether based in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. Liability arising from a service engagement is addressed in the applicable MSA and is not affected by this section.

8. Indemnity

You agree to indemnify and hold harmless Axis Mundi Technologies and its affiliates, and their respective directors, officers, employees, and agents, from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Site.

9. Changes to the Site and These Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. Where changes are material, we will post a prominent notice on the Site and update the effective date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

As the exclusive means of resolving any dispute arising out of or relating to these Terms or your use of the Site, either party may require that the dispute be resolved by binding arbitration administered by the American Arbitration Association in accordance with its commercial arbitration rules. This section does not prevent either party from seeking injunctive or other equitable relief to protect its intellectual property or confidential information.

11. General

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with the Privacy Policy and any applicable MSA and DPA, represent the entire agreement between you and Axis Mundi Technologies regarding the Site.
